If a separate signed agreement conflicts with these Terms regarding a particular service, the signed agreement will govern that matter to the extent specified in the agreement and permitted by law.

4. Proposals and Scope of Work

Before starting a paid engagement, we may provide a proposal, quotation, scope of work, or service agreement describing the expected work.

Depending on the project, the document may specify:

  • Project objectives and deliverables.
  • Services included and excluded.
  • Project milestones and estimated timelines.
  • Fees and payment schedules.
  • Client responsibilities and dependencies.
  • Revision limits and approval procedures.
  • Reporting frequency and communication arrangements.
  • Ownership and licensing of deliverables.
  • Cancellation, termination, and other applicable conditions.

Work outside the agreed scope may require an additional quotation, revised timeline, or written approval.

We will make reasonable efforts to clarify the scope before undertaking additional work.

5. Engagement Packages

Gnomic Digital may offer different engagement models depending on the client’s business objectives.

EDGE — Strategy and Direction

This engagement may include market and competitor assessments, audience research, positioning, website audits, SEO opportunity assessments, and a prioritized growth roadmap.

MOMENTUM — Strategy and Execution

This engagement may include website messaging improvements, scientific content development, SEO, digital campaigns, lead capture improvements, and marketing analytics implementation.

ASCEND — Measurement and Optimization

This engagement may include marketing funnel analysis, reporting, campaign performance reviews, lead-quality analysis, conversion optimization, and marketing workflow improvements.

The packages describe potential service categories rather than guaranteeing that every listed activity is included in every engagement.

The actual scope, deliverables, fees, and engagement duration will be confirmed in the applicable proposal or agreement.

6. Fees and Payments

Our services may be offered as fixed-scope projects, implementation engagements, or recurring monthly retainers.

Fees, payment dates, deposits, applicable taxes, and any additional charges will be communicated in the relevant proposal, quotation, invoice, or written agreement.

Unless otherwise agreed in writing:

  • The client must pay invoices according to the agreed payment schedule.
  • The client must provide accurate billing information.
  • Additional work outside the agreed scope may incur additional fees.
  • Delays in payment may affect project timelines or service delivery, subject to the applicable agreement and law.

Any advance payments, cancellation charges, refunds, or non-refundable fees will be governed by the applicable written agreement and mandatory consumer or other applicable laws.

We will not treat an uncommunicated fee as agreed merely because a visitor uses the website.

7. Client Responsibilities

Successful delivery depends on timely communication and cooperation between Gnomic Digital and the client.

Clients agree to:

  • Provide accurate business information and project requirements.
  • Supply necessary content, assets, account access, and approvals.
  • Ensure they have permission to provide materials used in the project.
  • Review drafts, campaigns, and deliverables within agreed timelines.
  • Identify relevant regulatory, scientific, legal, and brand requirements.
  • Maintain control over their business accounts unless otherwise agreed.
  • Ensure the accuracy of claims, product information, and materials they approve.
  • Comply with applicable laws governing their products, services, advertising, and customer data.

If a client delays providing necessary information, access, or approvals, the project timeline may need to be adjusted.

We will communicate material dependencies or delays where reasonably practicable.

8. Healthcare, Scientific, and Pharmaceutical Content

Gnomic Digital works with businesses in healthcare, life sciences, biotechnology, diagnostics, pharmaceuticals, and related sectors.

Content and marketing materials created for these sectors may require additional review because of scientific accuracy, patient safety, professional standards, and applicable advertising regulations.

Unless expressly agreed otherwise in writing:

  • Our services are marketing and communication services, not medical care.
  • Website content is not a substitute for professional medical advice.
  • Scientific and medical materials should be reviewed and approved by appropriately qualified client representatives before publication.
  • Clients remain responsible for the accuracy, substantiation, and legal approval of product claims and regulated communications they authorize.
  • We do not guarantee that marketing materials will satisfy every regulatory requirement applicable to a client’s products or jurisdiction.

We may request clarification or decline to publish material that appears misleading, unsupported, unlawful, or inconsistent with applicable platform policies.

9. SEO, Advertising, and Performance Disclaimer

Digital marketing outcomes depend on factors outside our direct control, including search engine algorithms, advertising platform policies, market competition, audience behavior, budget, website performance, and client-side processes.

Gnomic Digital does not guarantee:

  • Specific search engine rankings.
  • A fixed volume of website traffic or qualified leads.
  • A particular number of conversions or sales.
  • Guaranteed advertising returns or revenue.
  • Approval of advertisements by third-party platforms.
  • Continued availability of specific platform features.
  • Particular results within a specified period unless expressly agreed in a binding written contract.

We will perform agreed services with reasonable care and professional diligence, subject to the applicable agreement.

Reports, forecasts, projections, and strategic recommendations are estimates or professional assessments rather than guarantees of future performance.

10. Third-Party Platforms and Tools

Our services may involve third-party platforms, including search engines, advertising networks, social media services, analytics providers, website platforms, email services, and CRM systems.

These platforms operate under their own terms, policies, fees, and technical requirements.

Gnomic Digital does not control the availability, functionality, or decisions of third-party providers.

We are not responsible for platform suspensions, algorithm changes, outages, policy changes, account restrictions, or other third-party actions beyond our reasonable control.

Where third-party access is required, clients are responsible for maintaining appropriate account permissions, ownership, billing arrangements, and compliance unless the parties agree otherwise in writing.

11. Intellectual Property

Unless otherwise agreed in writing, the website’s original text, graphics, branding, design elements, and other materials are owned by Gnomic Digital or used under appropriate authorization.

You may not reproduce, redistribute, modify, publish, or commercially exploit our website content without prior permission, except where permitted by applicable law.

Ownership and licensing of project deliverables will be established in the relevant proposal or agreement.

Unless the agreement states otherwise, third-party materials, stock assets, software, fonts, and platform resources remain subject to their respective licences and usage restrictions.

Clients are responsible for ensuring that materials they provide to us do not infringe the rights of others.

We may use portfolio examples or project descriptions to demonstrate our work only where permitted by the applicable agreement, confidentiality obligations, and law.

12. Confidentiality and Data Protection

Both parties should take reasonable steps to protect confidential business information shared during an engagement.

Confidential information should be used only for the purposes for which it was provided, subject to the applicable agreement and law.

Where a project involves personal information, each party must comply with its applicable data protection obligations.

Additional contractual provisions may be required where Gnomic Digital processes personal information on behalf of a client, particularly when working with healthcare organizations or other businesses handling sensitive data.

Clients should not provide patient records, sensitive personal information, passwords, or other restricted information unless the transfer is necessary, appropriately authorized, and supported by suitable safeguards.

13. Revisions and Approvals

The number of revisions, review stages, and approval procedures will be determined by the applicable proposal or agreement.

Clients are responsible for reviewing deliverables and communicating requested changes within the agreed timeframe.

Requests that materially change the original brief, require new deliverables, or fall outside the agreed scope may require additional fees or revised timelines.

Once a deliverable has received final approval, subsequent changes may be treated as additional work.

14. Cancellations and Termination

The cancellation and termination conditions for a specific engagement will be set out in the relevant written agreement.

Where no separate terms have been agreed, either party may request termination by providing written notice and allowing a reasonable opportunity to address outstanding matters, subject to applicable law.

Upon termination, the client remains responsible for fees properly due for work completed, authorized expenses, and other amounts payable under the applicable agreement.

Any treatment of advance payments, unfinished work, outstanding deliverables, account access, and project files will be determined by the applicable agreement and mandatory law.

Nothing in this section removes any statutory cancellation, refund, or other rights that cannot legally be excluded.

15. Limitation of Liability

To the extent permitted by applicable law, Gnomic Digital will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services.

Examples may include loss of anticipated profits, business opportunities, data, revenue, or goodwill, where such exclusions are legally permitted.

Our responsibility for a specific engagement will be governed by the applicable written agreement and relevant law.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability that cannot legally be excluded for fraud, intentional misconduct, or other protected rights.

Any contractual liability cap must be expressly agreed where required and remain subject to applicable law.

16. Indemnification

To the extent permitted by law, clients may be responsible for claims, losses, or expenses arising from materials they supply, instructions they authorize, unlawful use of our services, or infringement of third-party rights attributable to their conduct.

Any indemnification obligations applicable to a paid engagement should be expressly documented in the relevant agreement.

Nothing in this section creates an indemnification obligation that is prohibited by applicable law.

17. Website Availability and Accuracy

We aim to keep our website accessible and its information reasonably accurate and current.

However, we do not guarantee uninterrupted access, error-free operation, or the complete accuracy of every published statement.

We may update, modify, suspend, or remove website content when necessary.

Descriptions of services, engagement packages, capabilities, and examples are provided for general information. The actual scope of a professional engagement is determined by the applicable written agreement.

18. External Links

Our website may link to third-party websites, services, or resources.

These links are provided for convenience or informational purposes.

Gnomic Digital does not control external websites and is not responsible for their content, security, availability, or privacy practices.

Accessing third-party resources is at your own discretion and may be subject to separate terms.

19. Changes to These Terms

We may update these Terms to reflect changes in our business, website, services, or applicable legal requirements.

The revised Terms will be published on this page with an updated revision date.

Changes will apply from the stated effective date, subject to applicable law and any separate agreement governing an existing engagement.

Where a change materially affects an existing contractual relationship, we will handle the change in accordance with the relevant agreement and applicable law.

20. Governing Law and Jurisdiction

These Terms will be governed by the laws of [Insert applicable country and state or region], without prejudice to mandatory legal protections that apply to users in other jurisdictions.

Any disputes will be handled by the courts or dispute-resolution forum having jurisdiction under the applicable law and any valid agreement between the parties.

The governing law and jurisdiction should be finalized after confirming the legal entity operating Gnomic Digital and its place of establishment.
